End User Agreement

Synertia End User License Agreement

Legacy Learning Consulting LLC

Effective Date: October 21, 2026

1. Introduction and Acceptance

This End User License Agreement (“Agreement”) governs access to and use of Synertia (“Application”), a proprietary business management application developed and operated by Legacy Learning Consulting LLC (“Company,” “we,” “us,” or “our”).

Synertia is designed to support the management of client relationships, engagements, projects, team members, contractors, work assignments, time records, agreements, and related business operations.

By accessing or using Synertia, you (“User” or “you”) agree to comply with this Agreement. If you do not agree, you must not access or use the Application.

2. License Grant

Subject to compliance with this Agreement, Legacy Learning Consulting LLC grants authorized Users a limited, non-exclusive, non-transferable, revocable license to access and use Synertia solely for legitimate business purposes authorized by the Company.

This Agreement does not transfer ownership of Synertia or any associated intellectual property.

3. Authorized Users and Account Security

Access to Synertia is restricted to individuals authorized by Legacy Learning Consulting LLC.

Users agree to:

  • Provide accurate account and profile information.
  • Maintain the confidentiality of their login credentials.
  • Access only information and functionality permitted by their assigned roles.
  • Notify the Company promptly of suspected unauthorized access or security incidents.
  • Refrain from sharing accounts or allowing unauthorized individuals to access the Application.

The Company may modify, restrict, suspend, or terminate access when reasonably necessary for security, operational, or business purposes.

4. Permitted Use and Restrictions

Synertia may be used for authorized business activities, including project management, milestone tracking, work assignments, time reporting, contractor administration, document management, and related operations.

Users may not:

  • Access information or systems without authorization.
  • Copy, distribute, sublicense, sell, or commercially exploit the Application.
  • Reverse engineer, decompile, or attempt to obtain its source code, except where applicable law expressly permits.
  • Introduce malicious software or interfere with the Application's security or operation.
  • Use the Application for unlawful, fraudulent, or unauthorized purposes.
  • Circumvent access controls or attempt to access another User's account.

5. Business Information and User Content

Synertia may contain confidential business information, client records, project documents, contractor details, compensation information, time entries, agreements, and other operational records.

Users must handle this information in accordance with their authorized responsibilities and any applicable confidentiality agreements, company policies, and legal obligations.

Users remain responsible for the accuracy of information they submit to the Application.

The Company may access, process, retain, and manage information within Synertia as reasonably necessary to operate the Application, fulfill business obligations, maintain records, and comply with applicable law.

6. Third-Party Integrations and QuickBooks Online

Synertia may integrate with third-party applications, including QuickBooks Online, provided by Intuit Inc.

When an authorized administrator connects QuickBooks Online, Synertia may access and process accounting information within the permissions granted through that connection, including company information, vendor records, bills, and related financial records.

This functionality may be used to:

  • Match existing contractor and vendor records.
  • Support calculations based on approved time records and compensation rates.
  • Prepare and create accounting entries, including vendor bills, when enabled.
  • Support reconciliation and related business administration.

Connecting QuickBooks Online does not, by itself, authorize Synertia to initiate bank transfers, execute payments, or transfer funds.

Users acknowledge that third-party integrations are also subject to the applicable third-party provider's terms, policies, and service availability.

The Company is not responsible for interruptions, changes, or failures caused by third-party services outside its reasonable control.

7. Privacy and Data Protection

Personal and business information processed through Synertia is handled in accordance with the Company's Privacy Notice, available at:

https://legacylearningconsultingllc.com/privacy-policy

We implement reasonable administrative and technical safeguards intended to protect information maintained through the Application. However, no electronic system or method of transmission can be guaranteed completely secure.

8. Intellectual Property

Synertia, including its software, design, interfaces, functionality, branding, documentation, and underlying technology, is owned by Legacy Learning Consulting LLC or its applicable licensors.

All rights not expressly granted under this Agreement are reserved.

Users receive no ownership interest in the Application through their access or use.

9. Application Availability and Changes

The Company may update, modify, enhance, suspend, or discontinue features of Synertia as necessary for operational, security, or business reasons.

Although we strive to maintain reliable access, we do not guarantee uninterrupted or error-free availability.

Scheduled maintenance, technical issues, third-party service disruptions, or circumstances outside our reasonable control may temporarily affect access.

10. Disclaimer of Warranties

To the extent permitted by applicable law, Synertia is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in this Agreement excludes warranties or protections that cannot lawfully be excluded.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Legacy Learning Consulting LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use Synertia.

Nothing in this Agreement limits liability that cannot legally be limited or excluded.

12. Suspension and Termination

The Company may suspend or terminate a User's access to Synertia if:

  • The User's employment, contractor engagement, or other authorized business relationship ends.
  • The User violates this Agreement or applicable company policies.
  • Continued access creates a security, legal, or operational risk.
  • Access is no longer necessary for legitimate business purposes.

Upon termination, the User's license to access and use the Application ends immediately.

Information previously submitted may be retained in accordance with the Company's Privacy Notice and applicable legal or business recordkeeping requirements.

13. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.

14. Changes to This Agreement

Legacy Learning Consulting LLC may revise this Agreement periodically to reflect changes in the Application, business operations, legal requirements, or third-party integrations.

Updated versions will be posted at the designated End User License Agreement URL, with the effective date revised accordingly.

Continued use of Synertia after changes become effective constitutes acceptance of the revised Agreement to the extent permitted by applicable law.
